If, directly or indirectly because of a force majeure event including but not limited to any communicable disease, to include Novel Coronavirus (as defined below), or a venue closure due to insolvency or bankruptcy, the Event is postponed or cancelled at the Promoter's sole discretion , no rent, deposits or other payments shall be payable to the Venue under this Agreement, any rent, deposits or other payments already paid to the Venue under this Agreement shall be refunded to the Promoter within 7 days of the Promoter providing the Venue with an invoice, and all other obligations of the Promoter and Venue under this Agreement shall be fully excused. In the event of a postponement both parties will take reasonable steps in good faith to rearrange the Event if possible before cancelling, in which case any deposits paid would be transferred by mutual agreement to the rearranged date. For the avoidance of doubt, venue deposits are owned by and remain the property of the promoter/producer until such time as the show has taken place.

For the purpose of this Agreement Novel Coronavirus shall be defined as:
a. any fear or threat (whether actual or perceived) of Novel Coronavirus (2019-nCoV) or any mutant variation thereof by members of the public which directly or indirectly leads to the Event becoming financially unsustainable;
b. any action taken in controlling, preventing, suppressing or in any way relating to any outbreak of Novel Coronavirus (2019-nCoV) or any mutant variation thereof
c. the imposition of quarantine or restriction in movement of people or animals by any venue, local, city, regional, national or international body or agency pertaining to any outbreak of Novel Coronavirus (2019-nCoV) or any mutant variation thereof; or
d. any travel advisory or warning being issued by any venue, local, city, regional, national or international body or agency pertaining to any outbreak of Novel Coronavirus (2019-nCoV) or any mutant variation thereof.
